Responsibilities

This position is responsible for the review of all commercial contract agreements (including, but not limited to licensing agreements, software agreements, marketing, vendor service agreements, etc.). The position shall report to the General Counsel and shall assist the General Counsel in managing the legal affairs of the company.

  • Review, draft, negotiate and revise commercial contracting agreements generated by departments with the company's home office.  Manage company's contract database of active and pending agreements.
  • Provide counsel/guidance to the General Counsel and the subject business department(s) regarding the economic and operational impact of pending agreements under review, clarification of economic terms and general business issues.
  • Maintain the corporate books and records for the company and its affiliates.
  • Assist the General Counsel in commercial transactions and intellectual property matters, including trademark, patent and copyright searches, registrations and infringement issues.

Qualifications

  • Bachelor's Degree; Juris Doctor; Member of the New Jersey Bar
  • Seven or more years of experience with commercial contracting and licensing
  • To perform this job successfully, an individual should have knowledge of Spreadsheet software and Word Processing software. This includes Microsoft Office Programs.
  • Ability to negotiate effectively.
  • Ability to manage and supervise other counsel.
  • Ability to manage contract database.
  • Ability to multi-task effectively.
  • Analytical and problem solving skills.
  • Excellent written and oral communication skills.
  • Knowledge of general legal principles and practices, including corporate, employment, licensing, contract and commercial law.
  • Licensed to practice law.
